1. Agreement to Terms

By accessing and supporting the Neat Coffee Sunset Beach campaign ("Campaign") operated by Neat Coffee Co., LLC ("Neat Coffee," "we," "us," "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not participate in the Campaign.

2. About This Campaign

This Campaign is not a charitable donation platform. We are a for-profit business raising funds to open our second coffee shop location in Sunset Beach, California.

Key Points:

• This is a pre-purchase and crowdfunding campaign
• Neat Coffee maintains full control over all funds raised
• We are not offering equity or ownership stakes (except through separate investor agreements)
• This Campaign is not governed by securities laws as we are not offering securities

3. Membership Tiers and Purchases

3.1 Memberships Are Pre-Purchases

When you select a membership tier, you are pre-purchasing coffee, merchandise, and/or services to be delivered starting January 2026. These are commercial transactions, not donations.

Membership tiers include:

• NEAT Supporter ($100)
• NEAT Regular - Local ($350)
• NEAT Regular - Remote ($450)
• NEAT Member ($1,000)

3.2 Delivery Timeline

• Coffee points and subscriptions begin: January 2026
• Merchandise ships: Week of November 10, 2025
• Points expire: Never
• Subscriptions run for duration specified in tier description

3.3 No Refunds

All purchases are final and non-refundable. By participating, you acknowledge:

• Funds are used immediately for construction and operations
• We cannot guarantee specific opening dates
• Delays may occur due to construction, permitting, or unforeseen circumstances
• Your support helps make the shop possible but does not guarantee specific outcomes

4. Heart Contributions

4.1 Nature of Contributions

Heart Contributions (starting at $25, custom amounts accepted) are contributions with minimal return value. You receive:

• Access to campaign updates
• Recognition as a supporter
• Inclusion in community communications

4.2 Tax Implications

IMPORTANT: Heart Contributions are likely not tax-deductible because:

• Neat Coffee Co., LLC is not a 501(c)(3) nonprofit organization
• You receive consideration (updates, recognition) in exchange
• This is commercial fundraising, not charitable giving

We recommend consulting a tax professional for guidance on your specific situation.

5. Investor Tier ($10,000+)

The NEAT Investor tier requires a separate consultation and may involve:

• Separate legal agreements
• Potential equity or profit-sharing arrangements
• Securities law compliance
• Accredited investor verification

Investment terms are negotiated individually and are not covered by these general Terms of Service.

6. Our Obligations

We commit to:

• Using funds raised to build and open NEAT Sunset Beach
• Delivering purchased memberships and goods in good faith
• Providing regular campaign updates
• Operating transparently with our community

We do not guarantee:

• Specific opening dates
• Exact product specifications
• Particular business outcomes
• Return on investment

7. Your Account

7.1 Account Creation

To participate, you must:

• Provide accurate information (name, email)
• Be at least 18 years old
• Have authority to make the purchase

7.2 Account Security

You are responsible for:

• Maintaining confidentiality of account credentials
• All activities under your account
• Notifying us of unauthorized access

8. Payment Processing

8.1 Stripe Integration

Payments are processed through Stripe, Inc. By making a purchase, you agree to Stripe's terms and conditions.

8.2 Payment Information

We do not store your full credit card information. Payment data is handled by Stripe in compliance with PCI-DSS standards.

9. Intellectual Property

All content on this Campaign website, including:

• Text, graphics, logos
• Images and videos
• Campaign materials

are owned by Neat Coffee and protected by copyright laws.

10. Limitation of Liability

To the fullest extent permitted by law:

• Neat Coffee is not liable for delays, changes, or cancellations
• Our total liability is limited to the amount you paid
• We are not responsible for consequential, indirect, or incidental damages
• Use of this site is at your own risk

11. Changes to Terms

We reserve the right to modify these Terms at any time. Continued participation after changes constitutes acceptance of new terms.

12. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law provisions.
